These terms govern the use of M&E Studio tools, resources, and advisory services.

1. Who Runs M&E Studio

M&E Studio (monitoringevaluationstudio.com) is published by Logic Lab LLC, a North Carolina limited liability company. In these terms, “we,” “us” and “our” mean Logic Lab LLC; “you” means the person using the site; and “the site” means M&E Studio, including its pages, downloads and tools. Using the site means you accept these terms and our privacy policy. If you do not accept them, do not use the site.

2. What These Terms Cover

These Terms apply when you:

Visit or use our website
Contact us through forms or email
Use our M&E Studio tools, wizards, or features
Download materials or resources we provide
Engage with any other Services we offer

We may modify, update, or discontinue features of our Services as we continue to develop and improve them. We'll do our best to communicate significant changes that affect your use.

In the sections below, “Services” means the site, its tools and AI-assisted features, and the advisory services we offer through it.

3. Using Our Content

Free and paid content. Free content is anything on the site you can read or download without buying it. Paid content is anything we sell, anything offered only after a purchase, and anything marked “Paid.”

Your license to free content. We give you a free, non-exclusive, worldwide license to read, download, print, copy, use and adapt free content for your own work or your organization's work, and to share it with colleagues and partners, including on a private shared drive or intranet. This license is given on the conditions below. If you break them, the license ends for that use.

1. Credit, always. Whenever you share, post or publish free content or anything adapted from it, whether on social media, inside your organization, on a website or in a product, training or report, credit us in visible text: “Source: M&E Studio, monitoringevaluationstudio.com” for unchanged content, or “Adapted from M&E Studio, monitoringevaluationstudio.com” for content you changed. Link to the original page wherever the medium allows; where it does not, the name and domain in text are enough. Do not remove credit lines from our downloads. Credit does not mean we endorse you or your changes, and we are not responsible for versions you adapt.

2. Your adopted documents. You may publish your organization's adapted version of a template, such as an adopted policy, as your organization's own document, as long as it carries the “Adapted from” credit.

3. Link, don't copy. You may quote up to 150 words from any one page, with credit and a link. Except as rules 2 and 5 allow, you may not copy more than that, or any whole page, guide, section, table, checklist, template or prompt, onto a public website, social media account, public file-sharing link, repository, app, newsletter, course or product. Link to it instead.

4. No selling, no passing off. You may not sell free content or anything adapted from it, charge for access to it, or present our unchanged content as your own work. Consultants and trainers may use free content in paid work for a client, with credit, as long as they do not charge for the content itself.

5. Translations. You may translate free content and publish the translation free of charge, as long as it carries the credit, links to the original page and says: “Unofficial translation. M&E Studio did not prepare or review it.” We are not responsible for translations.

6. AI and search. Search engines and AI systems may read, index, quote and learn from free content, and you may paste it into an AI assistant for your own work. Anyone who shares or publishes our content, or anything adapted from it, still follows rules 1 to 5.

Open content. Some pages say on the page that they are open content under the Creative Commons Attribution 4.0 International license (CC BY 4.0, https://creativecommons.org/licenses/by/4.0/). M&E Studio has no open content yet. For open content, CC BY 4.0 applies instead of rules 2 to 5 above: you may copy, share, adapt and build on it for any purpose, including in paid work and products, as long as you give credit, link to the license and say whether you made changes. Credit in the form rule 1 shows is enough: “Source: M&E Studio, monitoringevaluationstudio.com” or “Adapted from M&E Studio, monitoringevaluationstudio.com”. Material inside open content that belongs to others, such as text quoted from another standard, keeps its owner's terms and is marked where it appears. Our name and logo are not part of the license. A page that does not say it is open content is free content under the terms above.

Paid content. We license paid content to the individual who bought it, for that person's use only. The license is non-exclusive and cannot be transferred or sublicensed. You may use and adapt it in your own work, including work for your employer or clients, and share the finished work you create with it. You may not share, post, lend, resell, translate or give the paid content itself, or any substantial part of it, to anyone else, including colleagues in your organization. We may end this license if you break these terms.

Names, logos and other people's material. Our name and logo are not licensed for your use, except in the credit line these terms require. Material we quote or link to belongs to its owners. Nothing here limits rights you have under fair use or similar law. Everything not granted here is reserved by Logic Lab LLC. To ask permission for another use, or to report misuse of our content, contact us.

4. Eligibility

By using the Services, you represent and warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

5. Your Content and Submissions

When you submit content through our Services (such as contact forms, M&E Studio tools including indicators, MEL plans, evaluations, assessments, uploaded files, or other materials), you retain ownership of your content. However, you grant us permission to use, store, and process that content as needed to provide our Services, improve our offerings, and run our business.

This means we can store your content on our servers, display it back to you in our tools, analyze it to improve our services, and use aggregated or anonymized versions for research and development. We won't sell your content or use it for purposes unrelated to our Services without your permission.

You confirm that you have the right to submit your content and that it doesn't violate anyone else's rights or applicable laws.

6. Prohibited Conduct

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Prohibited conduct includes, without limitation:

Accessing or attempting to access systems, data, or areas of the Services without authorization
Overloading or disrupting the Services with automated requests
Interfering with or disrupting the functionality of the Services
Uploading or transmitting malicious code or harmful materials
Misrepresenting your identity or affiliation
Reverse engineering or attempting to extract source code from the Services
Violating any applicable law or regulation

Logic Lab LLC reserves the right to investigate violations, cooperate with authorities, and pursue all legal remedies available.

7. Suspension and Termination

We reserve the right to suspend or terminate access to our Services if you violate these Terms, engage in harmful activities, or if required by law. We'll typically provide notice when reasonably possible, though we may need to act immediately in cases of abuse, security threats, or legal requirements.

8. Not Professional Advice

The content and any tool outputs on this site are general, practical information. They are not legal, financial, tax, audit, safeguarding or other professional advice for your organization. Laws, funder rules and good practice differ by country, by funder and over time. Before you rely on the site for a decision with legal or financial consequences, check the rules that apply to you and, where the stakes are high, ask a qualified professional.

9. Templates and Outputs Are Starting Points

Templates, policy outlines, checklists, prompts and anything a tool or AI assistant produces are starting points. Adapt each one to your organization, your country's law and the terms of each agreement you hold. Our templates, including any safeguarding and code of conduct templates, have not been reviewed by a lawyer or specialist for your context, and using one does not make your organization compliant with anything. Have your adapted version reviewed before you adopt it.

10. Links to Other Sites

Pages link to sources published by other organizations. We do not control those sites and are not responsible for their content or availability. A link is not an endorsement.

11. No Warranties

THE SITE AND EVERYTHING ON IT, INCLUDING CONTENT, DOWNLOADS, TEMPLATES, TOOLS AND OUTPUTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. We do not promise that anything is complete, current, free of errors or right for your situation, or that the site will always be available. You use it at your own risk.

12. Limitation of Liability

TO THE EXTENT THE LAW ALLOWS: (1) LOGIC LAB LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND CONTRACTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST FUNDING, DISALLOWED COSTS, PENALTIES, AUDIT FINDINGS, LOST DATA AND LOST PROFITS, HOWEVER CAUSED; AND (2) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE ITEM AT ISSUE IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to fraud, gross negligence or willful misconduct, or where the law does not allow them.

13. Your Responsibility

You are responsible for how you use what you find here. If you break these terms, violate the law or someone else's rights, or send us content you have no right to send, you agree to cover our reasonable losses and costs from any third-party claim that results, to the extent the law allows.

14. Governing Law

These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. The state and federal courts located in North Carolina have exclusive jurisdiction over any dispute about these terms or the site. Mandatory consumer protections where you live are not affected.

15. Business Transfers

If Logic Lab LLC is involved in a merger, acquisition, restructuring, or sale of assets, your information and any rights granted under these Terms may be transferred as part of that transaction. These Terms will remain binding upon any successor entity.

16. M&E Studio Application Services

The M&E Studio application provides specialized monitoring and evaluation tools, wizards, and AI-assisted features. By using M&E Studio, you agree to the following additional terms:

16.1 Data Storage and Backups

Currently, M&E Studio stores your work in your browser's local storage (on your device only). This means:

Your data isn't synced to the cloud or accessible from other devices
Clearing your browser cache or using incognito mode will erase your work
Browser storage has size limits (typically 5-10MB)
We Strongly Recommend Exporting Your Work Regularly to Word, PDF, or JSON formats

16.2 AI-Assisted Services

M&E Studio integrates artificial intelligence services from third-party providers to enhance your experience. These AI features may include:

Logic model generation from project narratives
Indicator quality analysis and recommendations
MEL plan content suggestions
Evaluation methodology recommendations

Site-operated Gemini features are currently unavailable. When you use a user-initiated AI feature:

Your content may be transmitted to third-party AI providers for processing
Processing is subject to the AI provider's terms and privacy policies
We do not guarantee accuracy, completeness, or suitability of AI-generated content
You are responsible for reviewing and validating all AI-generated outputs
AI-generated content should not be considered professional advice
Do not enter personal data about individuals, beneficiary or health data, credentials, or material you are not allowed to share with a third party

16.3 Usage Tracking and Analytics

We may track your usage of M&E Studio features for analytics, product improvement, and research purposes, including:

Which wizards and tools you use
Frequency and duration of sessions
Feature interactions and workflow patterns
Validation scores and assessment results (aggregated and anonymized)
Error messages and technical issues encountered

This data may be used to improve M&E Studio, develop new features, conduct research, or for any other lawful business purpose, subject to our Privacy Policy.

16.4 Exported Files and Downloads

Files you export or download from M&E Studio (Word documents, PDFs, JSON files) are generated client-side in your browser and may contain errors, formatting issues, or inaccuracies. By exporting files, you acknowledge:

You retain ownership of your exported content, subject to Section 5
We do not guarantee the accuracy, completeness, or suitability of exported files
Exported files may not meet donor requirements or professional standards
You are responsible for reviewing and editing all exported content before use

17. General

These terms and our privacy policy are the whole agreement about your use of the site. If they conflict, these terms control. A signed agreement with us, such as a consulting agreement, or the purchase terms for a particular item, controls over these terms for that work or purchase. If any part of these terms cannot be enforced, the rest stays in effect. Not enforcing a term is not a waiver of it. The sections on using our content, no warranties, limitation of liability, your responsibility and governing law keep applying after you stop using the site.

18. Changes and Contact

We may update these terms. The date at the top of this page shows the current version, and changes apply from the date they are posted. A change does not alter the license for paid content you bought earlier. To ask a question about these terms, request permission or report misuse, use the contact details on this page.
