Service terms, intellectual property, user conduct, and legal policies for our M&E tools.

These terms govern the use of M&E Studio consulting services, AI-assisted tools, and downloadable resources.

Welcome to Logic Lab LLC ("Logic Lab LLC," "we," "our," or "us"). These Terms of Service govern your use of our website, tools, services, and content. By using our Services, you agree to these Terms and our Privacy Policy.

We may update these Terms from time to time. When we do, we'll post the revised version here with a new effective date. Your continued use after updates means you accept the changes.

1. What These Terms Cover

These Terms apply when you:

  • Visit or use our website
  • Contact us through forms or email
  • Use our M&E Studio tools, wizards, or features
  • Download materials or resources we provide
  • Engage with any other Services we offer

We may modify, update, or discontinue features of our Services as we continue to develop and improve them. We'll do our best to communicate significant changes that affect your use.

2. Eligibility

By using the Services, you represent and warrant that you are at least 18 years old (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

3. Intellectual Property and Ownership

Our Services, including all content, designs, software, tools, and materials, are owned by Logic Lab LLC or our licensors and are protected by intellectual property laws.

We grant you a limited license to use our Services for lawful, personal, or business purposes. However, you may not:

  • Copy, redistribute, or commercialize our content without permission
  • Reverse engineer or attempt to extract source code from our Services
  • Use automated tools to scrape or collect data from our Services
  • Resell or sublicense access to our Services

If you violate these terms, your license to use our Services may be terminated.

Consulting Clients: For consulting engagements, you retain ownership of your deliverables. We retain rights to our proprietary methodologies, templates, and systems.

4. Your Content and Submissions

When you submit content through our Services (such as contact forms, M&E Studio tools including indicators, MEL plans, evaluations, assessments, uploaded files, or other materials), you retain ownership of your content. However, you grant us permission to use, store, and process that content as needed to provide our Services, improve our offerings, and run our business.

This means we can store your content on our servers, display it back to you in our tools, analyze it to improve our services, and use aggregated or anonymized versions for research and development. We won't sell your content or use it for purposes unrelated to our Services without your permission.

You confirm that you have the right to submit your content and that it doesn't violate anyone else's rights or applicable laws.

5. Prohibited Conduct

You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. Prohibited conduct includes, without limitation:

  • Accessing or attempting to access systems, data, or areas of the Services without authorization
  • Engaging in automated scraping, harvesting, or data collection
  • Interfering with or disrupting the functionality of the Services
  • Uploading or transmitting malicious code or harmful materials
  • Misrepresenting your identity or affiliation
  • Violating any applicable law or regulation

Logic Lab LLC reserves the right to investigate violations, cooperate with authorities, and pursue all legal remedies available.

6. Account Suspension and Termination

We reserve the right to suspend or terminate access to our Services if you violate these Terms, engage in harmful activities, or if required by law. We'll typically provide notice when reasonably possible, though we may need to act immediately in cases of abuse, security threats, or legal requirements.

7. Service Availability and Warranties

We work hard to provide reliable, high-quality Services, but like all online platforms, we can't guarantee perfect uptime or error-free operation. Our Services are provided "as is" and "as available."

We don't make warranties about the Services being uninterrupted, completely secure, or free from all errors. You use the Services at your own discretion and risk. We encourage you to back up important work and export your data regularly.

8. Limitation of Liability

To the extent permitted by law, we're not liable for indirect or consequential damages arising from your use of our Services, including loss of data, profits, or business opportunities. This limitation applies to issues like:

  • Service interruptions or inability to access our Services
  • Errors, inaccuracies, or data loss
  • Unauthorized access to your account or data
  • Third-party conduct or content

Where liability can't be excluded by law, our total liability is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

9. Indemnification

You agree to defend, indemnify, and hold harmless Logic Lab LLC, its affiliates, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or in connection with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your Submissions or communications
  • Your violation of any applicable law or the rights of any third party

10. Third-Party Links and Services

The Services may include links to third-party websites, tools, or services. We provide these links for convenience only and do not endorse, control, or assume responsibility for the content, policies, or practices of such third parties. Your use of third-party services is at your own risk and subject to their terms and conditions.

11. Business Transfers

If Logic Lab LLC is involved in a merger, acquisition, restructuring, or sale of assets, your information and any rights granted under these Terms may be transferred as part of that transaction. These Terms will remain binding upon any successor entity.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the District of Columbia, United States, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Services shall be brought exclusively in the courts located in Washington, D.C., and you consent to their jurisdiction.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Logic Lab LLC concerning your use of the Services and supersede all prior communications, understandings, or agreements.

15. M&E Studio Application Services

The M&E Studio application provides specialized monitoring and evaluation tools, wizards, and AI-assisted features. By using M&E Studio, you agree to the following additional terms:

15.1 Not Professional Advice

Important: M&E Studio provides automated tools, templates, and guidance to support your M&E work, but it's not a substitute for professional consulting or expert judgment. Our tools are designed to help you think through M&E challenges, but they can't replace the expertise of qualified M&E professionals.

This means:

  • Tool outputs (SMART scores, budget estimates, sample sizes, templates) are starting points, not final answers
  • You're responsible for reviewing and adapting all outputs to your specific context
  • We don't guarantee compliance with specific donor requirements (USAID, FCDO, etc.)
  • For critical work, consult qualified M&E professionals
  • We're not liable for decisions made based on tool outputs

15.2 Data Storage and Backups

Currently, M&E Studio stores your work in your browser's local storage (on your device only). This means:

  • Your data isn't synced to the cloud or accessible from other devices
  • Clearing your browser cache or using incognito mode will erase your work
  • Browser storage has size limits (typically 5-10MB)
  • We strongly recommend exporting your work regularly to Word, PDF, or JSON formats

We're working on cloud synchronization for authenticated users, but can't guarantee when it will be available. Until then, treat your browser storage as temporary and back up important work frequently.

15.3 AI-Assisted Services

M&E Studio integrates artificial intelligence services from third-party providers to enhance your experience. These AI features may include:

  • Logic model generation from project narratives
  • Indicator quality analysis and recommendations
  • MEL plan content suggestions
  • Evaluation methodology recommendations

AI services are provided through external providers including OpenAI, Anthropic, and Google. You may also choose to use local AI models on your device. When using external AI providers:

  • Your content may be transmitted to third-party AI providers for processing
  • Processing is subject to the AI provider's terms and privacy policies
  • We do not guarantee accuracy, completeness, or suitability of AI-generated content
  • You are responsible for reviewing and validating all AI-generated outputs
  • AI-generated content should not be considered professional advice

15.4 Usage Tracking and Analytics

We may track your usage of M&E Studio features for analytics, product improvement, and research purposes, including:

  • Which wizards and tools you use
  • Frequency and duration of sessions
  • Feature interactions and workflow patterns
  • Validation scores and assessment results (aggregated and anonymized)
  • Error messages and technical issues encountered

This data may be used to improve M&E Studio, develop new features, conduct research, or for any other lawful business purpose, subject to our Privacy Policy.

15.5 Exported Files and Downloads

Files you export or download from M&E Studio (Word documents, PDFs, JSON files) are generated client-side in your browser and may contain errors, formatting issues, or inaccuracies. By exporting files, you acknowledge:

  • You retain ownership of your exported content, subject to Section 4
  • We do not guarantee the accuracy, completeness, or suitability of exported files
  • Exported files may not meet donor requirements or professional standards
  • You are responsible for reviewing and editing all exported content before use
  • We are not liable for any consequences of using exported files

15.6 Planned Backend Integration

We may implement Supabase-based cloud storage for authenticated users in the future, enabling cross-device synchronization and data persistence. Any such implementation will be subject to additional terms and our Privacy Policy. We make no guarantees about the timing, features, or availability of backend integration. You will be notified of material changes before they take effect.
